1. About Compliance Manager Plus

Compliance Manager Plus is an enterprise-grade Audit & Compliance Management SaaS platform that enables organizations to digitize and streamline the complete audit lifecycle. The platform supports internal, regulatory, standard-based, and contractual audits, providing tools for audit planning, execution, evidence management, Non-Conformance (NC) management, Corrective and Preventive Actions (CAPA), dashboards, notifications, PDF and Excel reporting, and secure audit records. Designed for organizations of all sizes, Compliance Manager Plus helps improve compliance, increase operational efficiency, and deliver accurate, real-time audit insights through a centralized cloud platform.

Our Services are intended for business and organizational use.

2. Eligibility

You may use the Services only if:

• You are at least 18 years old.
• You have the legal authority to enter into agreements on behalf of yourself or your organization.
• Your use complies with all applicable laws and regulations.

If you register on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information.
• Keep your account information up to date.
• Maintain the confidentiality of your login credentials.
• Enable Multi-Factor Authentication (where available).
• Notify us immediately of any unauthorized access or suspected security breach.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts containing false or misleading information.

4. Organization Accounts

Compliance Manager Plus supports multi-tenant organizations. Each subscribing organization is responsible for:

• Managing its users.
• Creating departments.
• Assigning roles and permissions.
• Managing auditors.
• Managing responsible persons.
• Protecting organizational credentials.
• Maintaining appropriate access controls.

Organization administrators are responsible for activities performed by users within their organization.

5. Subscription Services

Compliance Manager Plus is offered as a subscription-based Software-as-a-Service (SaaS) platform. Subscription plans may include Starter, Professional, and Enterprise. Features, pricing, storage limits, and user limits vary depending on the selected subscription.

We reserve the right to modify available plans, provided such changes do not materially reduce functionality during an active subscription period without prior notice.

6. Billing and Payments

Subscription payments are processed securely through a trusted merchant. By purchasing a subscription, you authorize us and our payment providers to:

• Process subscription payments.
• Charge your selected payment method.
• Calculate and collect applicable taxes, where required.
• Generate invoices and payment confirmations.
• Process recurring subscription renewals for active subscriptions.

Failure to complete payment may result in restricted access to certain features or suspension of your subscription until payment is successfully received.

7. Automatic Renewals

Unless cancelled before the renewal date, subscriptions automatically renew for the same billing period. You may cancel renewal at any time through your account settings or by contacting our support team. Cancellation prevents future billing but does not automatically generate refunds for previous payments.

8. Acceptable Use

Users must not:

• Access another organization's data.
• Share login credentials.
• Attempt to bypass security controls.
• Upload malware or malicious code.
• Reverse engineer the platform.
• Disrupt platform availability.
• Upload unlawful or copyrighted material without authorization.
• Misuse audit records.
• Manipulate audit evidence.
• Falsify audit findings.
• Interfere with audit logs or activity history.
• Use the platform for illegal activities.

Violation of these Terms may result in immediate suspension or permanent account termination.

9. Customer Data

Customers retain ownership of all data uploaded into Compliance Manager Plus. This includes audit plans, audit schedules, audit templates, audit responses, audit findings, audit evidence, photographs, attachments, observations, non-conformance records, CAPA records, dashboard data, reports, PDF exports, Excel exports, audit logs, and user information.

Compliance Manager Plus processes this information solely to provide the Services. We do not claim ownership of customer data.

10. Intellectual Property

Compliance Manager Plus, including software, source code, user interface, branding, logos, documentation, dashboards, reports, APIs, and platform design, remains the exclusive intellectual property of Compliance Manager Plus. Customers receive a limited, non-transferable license to use the platform during an active subscription.

11. Data Security

Compliance Manager Plus is built using enterprise-grade security practices. Security measures include end-to-end encryption, secure authentication, role-based access control, multi-tenant data isolation, activity logging, audit trails, two-factor authentication, single sign-on, secure cloud hosting, regular security monitoring, and backup & recovery procedures. Although we employ commercially reasonable safeguards, no online service can guarantee absolute security.

12. Service Availability

We strive to maintain high availability of the Services. Temporary interruptions may occur due to scheduled maintenance, security updates, infrastructure upgrades, internet failures, third-party service interruptions, emergency maintenance, or force majeure events. We do not guarantee uninterrupted availability.

13. Confidentiality

Both parties agree to protect confidential information exchanged through the Services. Confidential information includes audit findings, internal reports, regulatory assessments, contractual audit records, evidence files, compliance documentation, security information, customer records, and business information. Confidential information shall not be disclosed except as required by law or with written authorization.

14. Suspension and Termination

We may suspend or terminate access if these Terms are violated, payment remains outstanding, fraudulent activity is detected, unauthorized access is suspected, or use of the Services poses a security risk. Customers may terminate their subscription at any time in accordance with our Refund Policy.

15. Limitation of Liability

To the fullest extent permitted by law, Compliance Manager Plus shall not be liable for indirect damages, consequential damages, loss of profits, business interruption, loss of goodwill, or loss of data caused by factors outside our reasonable control. Our total liability shall not exceed the fees paid by the customer during the twelve (12) months preceding the claim.

16. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Indemnification

You agree to indemnify and hold harmless Compliance Manager Plus, its employees, officers, affiliates, and partners against claims arising from your misuse of the Services, violation of these Terms, violation of applicable laws, or infringement of third-party rights.

18. Changes to the Services

We continually improve Compliance Manager Plus. We may introduce new audit capabilities, improve dashboards, enhance reporting, expand supported audit types, improve automation, introduce additional integrations, update security controls, and improve performance. Where material changes affect customers, reasonable notice will be provided.

19. Changes to These Terms

We may update these Terms from time to time. The latest version will always be published on our website with the revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Compliance Manager Plus operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

22. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, and any applicable subscription agreement, constitute the entire agreement between you and Compliance Manager Plus regarding your use of the Services and supersede all prior agreements, communications, and understandings relating to the Services.
